END USER LICENSE AGREEMENT (EULA) FOR SOFTWARE & FIRMWARE

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Smart Sampler Solutions (“Company”) regarding the use of the Company’s software and firmware. By downloading, installing, or using the software or firmware, you agree to be bound by the terms of this Agreement.

1. Definitions

  • “Software” refers to any desktop or mobile application provided by Smart Sampler Solutions, including but not limited to SmartConfig2.0.
  • “Firmware” refers to the embedded system software installed on Smart Sampler Solutions’ hardware devices.
  • “Device” refers to the hardware products (e.g., data loggers and auto samplers) manufactured by Smart Sampler Solutions.

2. License Grant

Smart Sampler Solutions grants the User a non-exclusive, non-transferable, limited license to:

  • Install and use the Software solely for configuring and managing Smart Sampler Solutions devices.
  • Use the Firmware embedded in the Device, strictly as provided by the Company.

The User does not own the Software or Firmware but is granted a right to use them under this Agreement.

3. Restrictions

The User shall NOT:

  • Modify, decompile, disassemble, or reverse-engineer the Software or Firmware.
  • Copy, distribute, sell, or sublicense the Software or Firmware.
  • Use the Software or Firmware with non-Smart Sampler Solutions hardware.
  • Remove or alter any copyright, trademark, or proprietary notices.

Any violation of these terms will result in immediate termination of this Agreement.

4. Firmware-Specific Terms

  • The Firmware is provided only for use on authorized Devices.
  • Firmware updates may be required for continued operation or security improvements.
  • Users must not modify, disable, or interfere with the Firmware update process.

5. Software-Specific Terms

  • The Software may require activation using a valid license key provided by the Company.
  • The Software may collect anonymous usage data for performance improvements (if applicable).
  • The Company may offer updates or new versions, which the User may need to install for continued functionality.

6. Ownership

  • Smart Sampler Solutions retains all rights, title, and ownership of the Software and Firmware.
  • This Agreement does not transfer ownership to the User.

7. Updates & Support

  • The Company may provide updates or patches at its discretion.
  • The Company is not obligated to provide technical support, unless otherwise agreed.
  • Some updates may require an active internet connection or manual installation.

8. Warranty Disclaimer

The Software and Firmware are provided “AS IS” without warranties of any kind, either express or implied.
Smart Sampler Solutions does not guarantee that:

  • The Software or Firmware will be error-free.
  • The Software or Firmware will function without interruption.
  • The Software or Firmware will be compatible with all systems.

9. Limitation of Liability

Under no circumstances shall Smart Sampler Solutions be liable for:

  • Any indirect, incidental, or consequential damages.
  • Data loss, business interruption, or device malfunction due to Software or Firmware use.
  • Any damage caused by misuse, unauthorized modifications, or non-compliance with this Agreement.

The total liability of Smart Sampler Solutions shall not exceed the amount paid (if any) for the Software or Device.

10. Termination

This Agreement is automatically terminated if:

  • The User violates any terms of this Agreement.
  • The User attempts to tamper with or modify the Software or Firmware.
  • The User ceases using Smart Sampler Solutions products.

Upon termination, the User must cease using the Software and Firmware and delete all related files.

11. Governing Law

This Agreement is governed by the laws of Sweden. Any legal disputes shall be resolved in Swedish courts.
